Terms of Service

Last updated: 14 October 2026

In short

  • Clossara is a service for businesses. Your company owns its data; we use it only to provide the service.
  • Clossara's analysis and drafts are decision support. They can be wrong, and a person decides what to do and what to send.
  • Connect only data you are allowed to use, and use Clossara lawfully.
  • You can export your data and leave at any time.

1. The agreement

These Terms are an agreement between Clossara (“Clossara”, “we”, “us”) and the organisation that signs up for or uses Clossara (“Customer”, “you”).

By creating a workspace, accepting an invitation, or using the service, you accept these Terms. If you do this for an organisation, you confirm that you are authorised to bind it.

The following documents form part of the agreement:

  • any order form or quote you sign with us;
  • the data processing agreement (DPA);
  • the Privacy Policy, which explains how we handle personal data.

If they conflict, the order form comes first, then the DPA (for personal data), then these Terms.

Clossara is for business use only. It is not offered to consumers.

2. Accounts

  • Your workspace has one or more administrators. They invite users, set roles, connect integrations and can remove users.
  • Each user needs their own account. Accounts may not be shared.
  • Keep sign-in details secret. Tell us promptly at [email protected] if you suspect unauthorised access.
  • You are responsible for what happens in your workspace, and for your users following these Terms.

3. The service

Clossara analyses your sales conversations and CRM data. It diagnoses deals, forecasts outcomes, drafts replies, and answers questions in the copilot and through the MCP server. The features and limits of your plan are those on the pricing page or in your order form.

We keep improving the service and may change features. We will not materially reduce the core functionality of a paid plan during its current term. Features marked beta, preview or early access are offered as they are and may change or be withdrawn.

We aim to keep the service available and to announce planned maintenance in advance. Unless an order form gives a service level, we do not guarantee a particular uptime.

4. Your data

  • You own it. “Customer Data” is the data you or your users connect to or upload into Clossara: CRM records, emails, call records, documents and copilot conversations. You keep all rights in it.
  • Our permission is limited. You allow us to host, copy, process and display Customer Data only to provide, secure and support the service for you, and as the law requires.
  • No training, no selling. We do not use Customer Data to train or fine-tune any AI model, including our own. We do not sell it, and we do not use it for advertising.
  • Personal data. For personal data in Customer Data, you are the controller and we are your processor. The DPA applies.
  • Your responsibility. You confirm that you have the rights, notices and legal basis needed to connect Customer Data to Clossara. That includes the emails and contact details of people you correspond with.
  • Usage data. We may use aggregated technical data about how the service is used, which does not identify you, your users or the content of Customer Data, to run and improve the service.
  • Export and deletion. Administrators can export the workspace's data, and delete conversations, documents, users or the whole workspace, at any time.

5. AI output

Clossara's diagnoses, forecasts, scores, summaries and drafts (“Output”) are produced by a machine-learning model. Output is decision support. It may be incomplete or wrong, even when it cites the message it is based on.

  • Review Output before you rely on it. A person at your organisation decides what to do, and what to send.
  • Clossara does not send emails from your mailboxes. You are responsible for any message you send, including one based on a draft.
  • Do not use Output as the only basis for decisions about people with legal or similarly significant effects, such as employment decisions.
  • As between you and us, you own the Output generated for your workspace.

6. Acceptable use

You must not, and must not let anyone else:

  • use the service in breach of the law, including privacy, data protection, anti-spam and export laws;
  • connect mailboxes, CRMs or other data sources you are not authorised to access;
  • upload malicious code, or content that infringes others' rights;
  • try to get around security, access other customers' data, or test the service's security without our written permission;
  • overload the service, or access it by automated means other than the interfaces we provide (the portal, the API and the MCP server);
  • copy, resell or sublicense the service, or reverse engineer it except where the law allows this;
  • use the service or its Output to build a competing product, or to train a model.

7. Third-party services

Clossara connects to services you choose, such as Salesforce, HubSpot, Gmail, Outlook, or a company-data provider. Your use of those services is governed by your agreements with their providers. We are not responsible for them, or for changes they make that affect an integration. When you connect one, you authorise Clossara to access it within the permissions you grant. For mailboxes, that access is read-only.

8. Trials, fees and payment

  • Trial. New workspaces may start with a free trial, currently 14 days, with no card required. When the trial ends, the workspace needs a paid plan to continue. If you do not choose one, we may suspend the workspace and later delete it under section 9.
  • Fees. Paid plans are charged per seat, at the prices on the pricing page or in your order form. They are billed monthly or annually, in advance.
  • Taxes. Prices exclude VAT and other taxes, which are added where they apply.
  • Seats. Seats you add during a term are charged pro rata for the rest of that term.
  • Late payment. If an invoice is unpaid 14 days after its due date, and still unpaid 7 days after we remind you, we may suspend the service until it is paid.
  • Price changes. We give at least 30 days' notice. A new price applies from your next renewal.
  • Refunds. Fees already paid are not refundable, except where these Terms or the law say otherwise.

9. Term, suspension and termination

  • Term. A subscription runs for the period you chose and renews for the same period, unless either side cancels before renewal. You can cancel from the service or by writing to us.
  • Termination for breach. Either side may end the agreement if the other materially breaches it and does not fix the breach within 30 days of notice.
  • Suspension. We may suspend access immediately, and only as far as needed, if your use threatens the security or availability of the service or breaks the law. We tell you why, and restore access once the issue is resolved.
  • After it ends. Your access stops. For 30 days after that, you can ask us for an export of your data. After that period we delete Customer Data from the service, and from backups as they expire, unless the law requires us to keep it.
  • What survives. Sections 4, 10, 11, 13, 14 and 16 continue after the agreement ends.

10. Intellectual property

Clossara and its licensors own the service, the model, the software and the documentation. During your subscription we grant you a non-exclusive, non-transferable right for your users to use the service for your internal business purposes. If you send us feedback, we may use it without obligation to you.

11. Confidentiality

Each side will keep the other's non-public information confidential. It will use that information only for this agreement, and protect it at least as carefully as its own. This does not cover information that is public, was already known, was independently developed, or was lawfully received from someone else. Either side may disclose confidential information when the law requires it, telling the other side first where allowed.

12. Warranties and disclaimers

We will provide the service with reasonable skill and care. We will maintain the security measures described on the Security page and in the DPA.

Apart from that, and as far as the law allows, the service is provided “as is”. We give no other warranties, express or implied, including about merchantability, fitness for a particular purpose, or that Output will be accurate or that the service will be uninterrupted.

13. Limitation of liability

  • Neither side is liable for indirect or consequential loss, or for loss of profit, revenue, business or goodwill.
  • Each side's total liability under this agreement is limited to the fees paid and payable by you in the 12 months before the event that gave rise to the claim. During a free trial, ours is limited to EUR 100.
  • These limits do not apply to:
    • your payment obligations;
    • either side's indemnity obligations;
    • liability for fraud, or for death or personal injury caused by negligence;
    • any other liability that cannot be limited by law.

14. Indemnity

We protect you. We will defend you against third-party claims that the service, as we provide it, infringes their intellectual property rights, and pay the resulting damages and costs awarded. If such a claim arises, we may:

  • modify the service so that it no longer infringes;
  • get you the right to keep using it; or
  • end the affected subscription and refund the prepaid fees for the unused period.

You protect us. You will defend us against third-party claims arising from Customer Data, or from use of the service in breach of section 6, and pay the resulting damages and costs awarded.

How claims are handled. The side asking for protection must tell the other promptly, let it control the defence, and cooperate reasonably.

15. Changes

We may update these Terms. The date at the top shows the latest version. We will give administrators at least 30 days' notice of material changes, by email or in the service. A change applies from your next renewal, unless it is needed for legal or security reasons. If you do not agree, you may cancel before it applies to you.

16. Governing law

This agreement is governed by the laws of Spain. The courts of Barcelona, Spain have exclusive jurisdiction, unless mandatory law says otherwise.

17. General

  • You may not transfer this agreement without our consent. Either side may transfer it, with notice, as part of a merger or sale of its business.
  • Neither side is responsible for delays caused by events beyond its reasonable control.
  • If part of this agreement is unenforceable, the rest still applies.
  • Not enforcing a right is not a waiver of it.
  • This agreement is the entire agreement between us about the service.
  • Notices to us go to [email protected]. Notices to you go to your workspace administrators' email addresses.
